Joan is experienced in advising on various issues involving capital markets and securities law. She has been involved in various corporate exercises involving listing and other equity capital raising exercises on Bursa Malaysia and other stock exchanges, exchange-traded funds, REITs and other collective investment schemes.

Joan advises regularly on foreign investment restrictions, joint ventures, take-overs and mergers of public companies, acquisitions and disposals of shares and assets of private companies. Some of the transactions she advised on include companies in the manufacturing sector, engineering consultancy services, quantity surveying services, insurance, banking services, money remittance services, logistics, tourism and private employment agency services.

Professional and industry experience

Joan joined the firm as an Associate in 2008. Prior to joining the firm, she spent 2 years at a Malaysian boutique corporate law firm.

REIT and IPO engagements:

  • Acted for the Issuer in the establishment and listing on the Main Market of Sunway REIT, one of Malaysia’s largest REIT IPO.
  • Acted for the Issuer in relation to the establishment and listing of UOA Real Estate Investment Trust.
  • Acted for CIMB Group Holdings Berhad on its proposed dual listing on the Stock Exchange of Thailand.
  • Advised CIMB Bank Berhad on its issuance of Callable Bull/Bear Certificates (CBBC).
  • Advised for Macquarie on the issuance of its structured warrants. Macquarie is the first special scheme stockbroking company to issue structured warrants in Malaysia.
  • Advised OCBC Bank Berhad on its yearly issuance of its structured warrants.
  • Advised on the establishment and issuance of the CIMB FTSE China 25 and CIMB FTSE Asean40 exchange-traded funds.

M&As engagements:

  • Advised a world’s leading foreign insurance company on its acquisition of a controlling stake in a takaful insurance company.
  • Advised GISI in its acquisition of T&T Konsult Sdn Bhd which is a key infrastructure engineering consultancy firm in Malaysia.
  • Advised a foreign company on its acquisition of one of the largest tea beverage chain in Malaysia.
  • Advised one of the world’s largest mobile telecommunication company on its acquisition of a money remittance company in Malaysia.
  • Advised a Japan Stock Exchange listed logistics company on its acquisition of a logistics business in Malaysia and Thailand.
  • Acted as local counsel to a foreign company on its proposed acquisition of a private employment agency services group.

Other engagements:

  • Advised one of the world’s leading insurance company on its shareholders’ agreement with a local partner.
  • •Advised the underwriters on a proposed offering of business trust units in Malaysia in connection with a REIT listing in Singapore.
  • Advised the underwriters on the offering of shares in Malaysia by Banpu Power, one of Asia’s leading energy companies based in Thailand.
  • Advised one of Singapore’s leading healthcare group on restrictions on offering of shares in Malaysia in connection with its proposed IPO.
  • Advised one of Malaysia’s telecommunication company on the implication of Companies Act.
