Xian Ai is a partner in the firm’s Corporate Commercial Practice Group. Xian Ai’s main area of focus include mergers and acquisitions, corporate reorganisations, capital equity markets, joint venture and shareholder arrangements, foreign investments into Malaysia, regulatory compliance, corporate governance, incorporation of a company, legal due diligence and general corporate advisory. She advises both local and international clients in her areas of expertise.

Xian Ai works with leading public listed and private corporations on a variety of cross-border transactions in various industries, including financial institutions, REITs, telecommunication, manufacturing, logistics and retail markets. She also advises clients on private equity transactions involving block trades and placements.

Xian Ai is the key partner in the firm’s Japan Desk practice, and works with Japanese law firms and corporations to advise on various outbound investments. Xian Ai previously worked in Japan, where she was seconded to Anderson Mori & Tomotsune, an international law firm in Tokyo as a foreign legal counsel.

Some of her key engagement include:

  • Advised Telenor group on its application to the Securities Commission Malaysia to be exempted from the obligation to undertake a mandatory take-over offer for all remaining shares in CelcomDigi Berhad in connection with the internal re-organisation of Telenor’s Asian business.
  • Advised Bank Pembangunan Malaysia Berhad and Danajamin Nasional Berhad in respect of a merger via a business transfer scheme. This is the first merger involving a Development Financial Institution in Malaysia.
  • Advised CIMB Group on its proposed divestment and international investment joint partnership with Hong Kong listed Galaxy International group.
  • Acted as the Malaysian legal counsel to Advent International GmbH, one of the largest global private equity investors, in its acquisition of Caldic BV from Goldman Sachs Asset Management.
  • Advised Press Metal Aluminium Holdings Berhad in is placement exercise of 163,398,700 placement shares at an issue price of RM5.94 per placement share, raising approximately RM 970.6 million (~USD 213.9 million).
